Terms of service

1. Agreement

These Terms of Service (the "Terms") govern access to and use of the website vyforge.com and the VyForge promotions platform (the "Service") provided by VyForge Company Limited ("VyForge", "we", "us"). By using the Service, or by signing an order form or pilot agreement that references these Terms, you ("Customer", "you") agree to them. If you use the Service on behalf of a company, you confirm you are authorised to bind it. Where an order form and these Terms conflict, the order form prevails.

2. The Service

VyForge provides a multi-tenant, API-first platform for promotions, vouchers, loyalty and referral programs, with AI-assisted drafting, ranking and analytics that use the Anthropic Claude API. Features, limits and support levels are described in the applicable order form or pilot agreement. We may improve or change the Service, and will give reasonable notice of changes that materially reduce functionality.

3. Accounts and access

• You are responsible for the people you authorise to use your tenant, for keeping credentials and API keys confidential, and for all activity under your account.
• You must notify us promptly at [email protected] of any unauthorised use.
• Sandbox tenants are for testing and may be reset without notice.

4. Customer data

You retain all rights to the data you load into the Service ("Customer Data"). You grant VyForge a licence to host, process and display Customer Data solely to provide and support the Service. You are responsible for having the legal basis to collect and share Customer Data, including end-customer personal data, and for the lawfulness of the promotions you run. Our handling of personal data is described in the Privacy policy. You may export Customer Data at any time during the term and for 30 days after termination.

5. AI features

AI features produce drafts, suggestions and explanations for human review. They are inputs to your decisions, not decisions. Discounts and rewards are applied only by the deterministic rule engine according to rules you have approved. You are responsible for reviewing AI output before launching a campaign. Direct personal identifiers are removed before model calls, and prompts and outputs are not used to train models.

6. Acceptable use

You must not use the Service to run promotions that are unlawful, deceptive or that breach consumer protection rules in your market; to send unsolicited messages; to attempt to access other tenants' data; to reverse engineer the Service; to resell it without a written agreement; or to load content that infringes third-party rights. We may suspend access to protect the Service or other customers, and will tell you why and how to resolve it.

7. Fees and payment

Fees, billing periods and payment terms are set out in the order form. Unless stated otherwise, invoices are due within 15 days, are quoted in Vietnamese dong exclusive of VAT, and late amounts accrue interest at 0.05% per day. Pilot programs may be provided free of charge for a defined period; at the end of a pilot the Service continues only under a signed order form.

8. Service levels and support

We aim for high availability of the validation endpoint and will publish any service level commitments in the order form. Support is provided by email at [email protected] during Vietnamese business hours (GMT+7) unless another level is agreed.

9. Intellectual property

VyForge and its licensors own the Service, including software, rule-engine design, models of prompts and documentation. No rights are granted except the right to use the Service under these Terms. Feedback you provide may be used to improve the Service without obligation to you.

10. Confidentiality

Each party will keep the other's non-public information confidential, use it only to perform under these Terms, and protect it with at least reasonable care, for the term and three years after. This does not apply to information that is public, independently developed, or lawfully received from a third party, and disclosure required by law is permitted with notice where lawful.

11. Warranties and disclaimers

We warrant that the Service will perform materially as described in the order form. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, including fitness for a particular purpose and any warranty that AI output will be accurate, complete or produce a particular commercial result.

12. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, consequential or special loss, loss of profit or loss of data, and each party's total liability under these Terms in any 12-month period is limited to the fees paid or payable by the Customer for the Service in that period. These limits do not apply to breach of confidentiality, infringement of the other party's intellectual property, or liability that cannot be limited by law.

13. Term and termination

These Terms apply for the term stated in the order form and renew as stated there. Either party may terminate for material breach not cured within 30 days of written notice, or immediately if the other party becomes insolvent. On termination you may export Customer Data for 30 days, after which we delete it unless law requires retention.

14. Governing law and disputes

These Terms are governed by the laws of Vietnam. The parties will first try to resolve any dispute by good-faith negotiation for 30 days. Failing that, disputes will be resolved by the competent courts of Hanoi, Vietnam. For customers outside Vietnam, an order form may specify arbitration instead.

15. General

Notices must be in writing by email to [email protected] and to the Customer's account email. Neither party may assign these Terms without consent, except to a successor of its business. If any provision is unenforceable the rest remains in effect. These Terms, together with the order form and the Privacy policy, are the entire agreement between the parties on this subject.
